Terms of Service

1. Acceptance of terms
These Terms of Service ("Terms") govern your access to and use of the Brightline Systems website, forms, portal, and services (collectively, the "Services"). By using the Services or submitting a form, you agree to these Terms.
2. Who can use the Services
The Services are intended for businesses and the individuals who represent them. You confirm that you are authorized to provide the information you submit and to enter into agreements on behalf of your business.
3. Engagements and deliverables
Specific engagements (Diagnostic, Recalibration, Momentum, AI Systems Advisory) are governed by the scope, fees, and deliverables described on the relevant page or in a separate written agreement. Where these Terms and an engagement agreement conflict, the engagement agreement controls.
4. Payments
Fees are due as described at the time of purchase or in your engagement agreement. Payments are processed by our third-party payment provider. Unless stated otherwise, fees are non-refundable once work has begun.
5. 30-Day Recalibration Credit
If a client moves forward with a Recalibration within 30 days of their completed Diagnostic, $800 of the Diagnostic fee will be credited toward their first Recalibration. This credit applies only to the first Recalibration and expires after 30 days. It cannot be applied to Momentum, AI Systems Advisory, future projects, or transferred between clients.
6. Client responsibilities
You agree to provide accurate information, respond to reasonable requests during an engagement, and use the Services for lawful business purposes only. Brightline's ability to deliver depends on timely cooperation and honest information.
7. Confidentiality
Brightline treats non-public business information you share as confidential and uses it only to deliver the Services. You agree to treat Brightline's frameworks, materials, and recommendations as confidential and intended for your own business use.
8. Intellectual property
Brightline retains all rights to its frameworks, methods, templates, and pre-existing materials. You retain ownership of your business data and any materials you provide. Deliverables created specifically for you may be used inside your business without restriction.
9. Acceptable use
You may not misuse the Services, attempt to access accounts or data that are not yours, interfere with the operation of the Services, or use the Services to violate any law or third-party right.
10. Disclaimers
The Services are provided on an "as is" and "as available" basis. Brightline does not guarantee specific business outcomes. Any examples, estimates, or projections are illustrative, not promises.
11. Limitation of liability
To the fullest extent permitted by law, Brightline's total liability for any claim arising out of or related to the Services is limited to the amount you paid to Brightline for the engagement giving rise to the claim during the 12 months before the claim. Brightline is not liable for indirect, incidental, special, or consequential damages.
12. Termination
Either party may end an engagement as described in the engagement agreement. Brightline may suspend or terminate access to the Services if you violate these Terms.
13. Changes to these Terms
We may update these Terms from time to time. Material changes will be reflected by the "Last updated" date above. Continued use of the Services after changes take effect means you accept the updated Terms.
